第一階段：驕傲自滿、停止學習

柯林斯直言，很多成功企業往往誤以為會成功，是因為自己很厲害。卻忘了，此時的成功可能只是大環境或運氣幫了忙。

華碩前年底推出破壞式創新產品Eee PC，在市場大放異彩，被美國《BusinessWeek》票選為年度最熱門科技產品之一，創辦人施崇棠還受邀前往哈佛商學院分享成功經驗。

去年第四季，華碩出其不意碰上公司創辦十九年來首度虧損，損失將近三十億台幣，一手開發的小筆電市場、霸主頭銜也拱手讓給宏碁。

鑽研台灣科技產業的交通大學管理科學系教授朱博湧分析，成功企業通常會陷入成功慣性：即使外在環境改變，仍一再重複過去成功的模式。以優異研發能力起家、成功的華碩，就是一個典型。

第二階段：缺乏自律、盲目擴張

大公司光環黯淡的主因，並非他們滿足現狀、不願創新，而是過度擴張。

在台灣商業史上，威盛電子是眾多因過度擴張而飽嘗苦果的企業之一。一九九九年，獨霸全球晶片市場的英特爾，大意犯下一連串錯誤，威盛趁勢推出PC 133晶片組，橫掃四成市場佔有率，躍升為全球第二大晶片組製造商。

一炮而紅的威盛，順勢擴張，將觸角延伸到手機、光儲存、網路晶片等事業，員工人數瞬間增加三倍。好景不常，侵權、竊取商業機密官司接踵而來，威盛連續兩年共虧損六十六億台幣，從此盛況難再。今年五月，威盛被打入全額交割股。

第三階段：無視危機、輕視風險

企業領導人一定要誠實面對，並時刻注意三組數字——毛利、流動比率和負債淨值比，才能覺察自己是否已進入導致衰敗的第三階段。

任何一組數字出問題，都意味即將有風暴產生。柯林斯團隊研究的十一家殞落大企業中，在掉進第四階段之前，毛利、流動比、負債淨值比，至少有一項顯現負面訊號。

天喜旅行社就是因為疏忽財報警訊，去年底日幣巨幅升值，匯損讓郭正利慘賠一億。今年五月，天喜跳票，觀光局勒令停業，員工人數從兩年前五百四十人，縮編到現在僅有五十二人。

天喜的衰敗，並不在於產品出了問題，而是太輕忽財務報表。過去二十年，創辦人郭正利從不看財務報表，在公司賺錢時，也從不曾找財務專家做財務規劃，只是把現金全部投資在房地產，「手上沒現金，一需要週轉，就出了問題，」郭正利坦言。

第四階段：盲目拯救、亂抓浮木

二○○五年，明基併購西門子手機部門，希望借此一舉將BenQ品牌推上國際。

一年下來，明基帳面虧損三六七億台幣，銀行負債從二六五億驟增到四二○億，公司市值下跌四○％。董事長李焜耀痛苦但明快地決定，不再投資西門子。明基退守代工市場，曇花一現的品牌夢，宣告結束。

一位管理學者分析，明基太過自信，相信自己的研發與設計能力。但是，明碁的產品品質與國際管理能力，都趕不上公司擴張速度。

為了打品牌，明基抓到的「救星」，就是併購。最後證明，這個救星不但沒有救起明基品牌，甚至回過頭重創明基的經營根基。

第五階段：無足輕重、走向衰敗

宏碁是台灣企業由第五階段反敗為勝的經典代表。八○年代末期，為了進入美國市場，宏碁展開一連串併購。併購不但徹底失敗，更讓宏碁元氣大傷。

三十年內，宏碁從一家岌岌可危的本土電腦廠商，搖身一變為年營收七千億台幣、全球第二大筆記型電腦廠商。

四年前被施振榮聘任為標竿學院院長的朱博湧透露，宏碁是跌到第五階段，才徹底改變思惟。不再迷信過去成功的垂直整合模式，將所有重資產的事業（代工）切割出去，只留下成長最快的輕資產（品牌）。
