開發金案 辜仲瑩遭求處重刑

國內最著名的「敵意併購」、開發金併購金鼎證弊案，台北地檢署經歷四年調查，昨日偵結。檢方認為，辜仲瑩等人在購併金鼎證期間，違反公開收購、涉嫌內線交易，致開發金損失一億四千萬，依違反證交法、金控法罪嫌起訴辜仲瑩等十一人。


起訴的十一人，包括開發金控總經理辜仲瑩、開發金控董事長陳木在、副總吳春台、策略長劉紹樑、法務長南怡君、財務長邱德馨、策略企劃處協理陳湘銘、財務管理處副理吳俊達、開發國際總經理黃偉佳、大華證券代理總經理陳品呈及副總經理邱明熙。


檢起訴十一人 認辜等四人無悔意

檢方認為辜仲瑩、吳春台、劉紹樑、黃偉佳等四名被告，藉用併購手段讓開發金控旗下公司「開發國際」獲取暴利，另方面掏空開發金資產，犯後又無悔意，特別向法院請求從重量刑。


另，陳木在是前財政部常次，檢方以他身為金控負責人，涉及金控法，請求加重其刑二分之一。


檢方認定辜仲瑩等人涉案情節，共有內線交易、違反證交法公開收購、金控法背信三大部分。


此外蕭子昂等九名被告，檢方認為罪嫌不足，均予不起訴處分。


起訴書指出，開發金控在九十四年初原本規畫將大華證券、中信證券及統一證券三家子公司進行合併，但未獲董事會支持，隨後改以金鼎證券為轉投資標的，並擬在消息公開前先由劉紹樑先行以短期投資方式購入金鼎證券股票。


但因開發金控所屬公司只有開發工銀可從事上市有價證券的短期投資買賣，而依「工業銀行設立及管理辦法」規定，工銀只能投資一五％股份，辜仲瑩便以旗下公司開發國際名義購買金鼎證券股票。


開發國際於九十四年四月間以每股均價九點八二元的價格購買金鼎證券股票，購入三萬五千四百六十四張，總額為三億四千八百卅一萬餘元；九十五年三月一日以每股十四元的價格，將全數金鼎證股票倒貨給開發金控，造成開發金控損失一億四千四百八十九萬五千五百廿元。


低買高賣 金鼎證股票倒給開發金

金鼎證券經營團隊當時為反制開發金控的非協議併購策略，董事會在九十四年八月廿五日決議與環華證金、遠東證券、第一證券等四公司合併，這四家公司分別召開股東臨時會並通過合併案，合併後將以金鼎證券為存續公司，其它三家公司的股份將轉換為金鼎證券股份。


但開發金控得知這項訊息後，為求順利併購金鼎證券，利用開發國際、大華證券等開發金旗下公司，向環華證金股東取得環華證金二○％以上的股權，涉嫌違反證券交易法強制公開收購的規定。
