變法敗壞傳統 變出功利社會
商鞅的霸道與被尊崇的帝道和王道都不同，為了排除干擾，商鞅「燔詩書而明法令」。然而，他開創的「燔詩書」的高壓政策，不僅極端壓制了人民的思想，對於中國文化典籍也是一種摧殘。可以說，商鞅是那個時期的反傳統先鋒。
商鞅變法雖然改變古法，制定秦律，容易在短期內奏效，但國家政令的貫徹實行，僅仰仗予富予貧、予貴予賤以及施用嚴刑峻法的權力，人民的守法就只能是出於恐懼 和貪慾，就會「免而無恥」，趨向功利。而連坐制度開了株連的先河，人民由寬容忍讓而變得互相監督，因恐懼連坐而互相揭發，也極大敗壞了淳樸的與人為善的民風。人生活在恐懼之中，即使倉廩實，也難祥和快樂。

商鞅死於自定的法律
五個月後，秦孝公死去，太子即位，太子老師公子虔告發商鞅意欲謀反，秦惠王下令派人逮捕商鞅。商鞅本是魏國人，就潛逃到邊境，天黑了想在旅館裡住下。旅館老闆拒絕他說：「對不起，商鞅定下了法律，入住客人沒有身份證明，要連旅館老闆一起治罪。」
商鞅這才哀歎道：「天啊，苛法的害處竟然厲害到這種程度！」他不敢住店，連夜逃到魏國。然而魏國因為他曾經背信棄義，又是秦國的通緝要犯，拒絕接納他。商鞅 逃回自己的封邑，糾集一幫人馬進攻秦惠王。秦惠王調動大兵討伐，將商鞅兵擊破。商鞅又向東逃亡，路上被擒獲殺死。秦王對大臣說：「各位不要像商鞅一樣造反！」下令將商鞅屍體車裂，商鞅家族滅族。
